TERMS AND CONDITIONS OF SALE
General
1.1 Each order ("Order") you place with us constitutes an offer to purchase goods ("Goods") under these terms and conditions ("Conditions").
1.2 We accept Orders exclusively under these Conditions, superseding any terms you may propose in your purchase order, confirmation, or other documents.
1.3 Variations to these Conditions or representations about the Goods will only be valid if agreed upon in writing by us.
1.4 Delivery of Goods constitutes conclusive acceptance of these Conditions.
Quotations
2.1 Quotations remain valid for 30 days unless withdrawn earlier.
2.2 A contract ("Contract") is only formed when we issue a written acknowledgment or commence production of the Goods.
Acceptance of Orders
3.1 Orders are accepted based on the provision of all necessary information to proceed without delay.
3.2 Orders may not be cancelled without our written consent. Cancellations are subject to indemnity for all associated losses and costs.
Specification
4.1 Goods will adhere to the specification detailed in our quotation ("Specification").
Delivery
5.1 The place of delivery ("Place of Delivery") will be as specified in our quotation. Delivery terms depend on the location:
a) At our premises: Delivery occurs upon loading the Goods.
b) At other locations: Delivery occurs upon unloading the Goods.
5.2 Delivery dates are estimates and not binding unless explicitly agreed in writing.
5.3 We may deliver in instalments, and each instalment will be treated as a separate contract.
5.4 You must report any delivery discrepancies in writing within 7 days.
Machining
6.1 Materials or blanks you provide for machining must meet our specified standards. You are liable for costs if materials fail to comply.
6.2 We are not responsible for loss or damage to materials provided for machining.
Price and Payment
7.1 Prices are as stated in our quotation but may be adjusted due to order changes or unforeseen cost increases.
7.2 Unless otherwise stated, prices are "ex works" and exclude VAT, testing, or certification costs.
7.3 Payment is due within 30 days from the end of the invoice month unless otherwise agreed.
7.4 We reserve the right to charge interest on overdue payments at 3.5% above the Bank of Scotland Base Rate.
Quality and Warranty
8.1 We warrant Goods will comply with the Specification upon Delivery.
8.2 Claims for defects must be made in writing within 7 days of Delivery or discovery.
8.3 Our liability for defective Goods is limited to repair, replacement, or refund.
Liability
9.1 Our total liability is limited to the price of the Goods in question.
9.2 We are not liable for indirect or consequential losses.
Intellectual Property
10.1 You indemnify us for any claims arising from Goods manufactured to your specification that infringe intellectual property rights.
Legal Construction
11.1 This Contract is governed by the laws of England, with disputes subject to English courts' jurisdiction.
Ownership and Risk
12.1 Risk transfers to you upon Delivery, but ownership remains with us until full payment is received.
12.2 We reserve the right to reclaim Goods if payment is not received.
Termination
13.1 We may terminate the Contract for non-payment, insolvency, or breach of terms.
Exports
14.1 You are responsible for ensuring Goods meet import requirements and for paying applicable duties or taxes.
Assignment and subcontracting
15.1 We may assign or subcontract obligations. You require our written consent to do so.
Force Majeure
16.1 We are not liable for delays caused by events beyond our control.
Our property
17.1 All materials, tools, and intellectual property remain our property unless otherwise agreed.
